Subject of Closed Meeting:  Staff will brief the Commission on the status of a compliance program.

Date of Closed Meeting:  February 12, 2020, 1:30 p.m.

Record of Commission’s Vote: On February 11, 2020, the Commission voted unanimously (4-0) to close the meeting and determined that Agency business requires calling the meeting without seven calendar days advance public notice. 

Commission’s Explanation of Closing: This meeting may be properly closed to the public under Exemptions 3, 4 and 9. 16 C.F.R. § 1013.4(b)(3),(4), and (9).  See 16 C.F.R. § 1013.4(c)(3). This meeting will involve discussion of the following: (1) matters specifically exempted from disclosure by statute (other than 5 U.S.C. 552) (exemption 3); (2) trade secrets and commercial or financial information obtained from a person and privileged or confidential (exemption 4); and (3) information the premature disclosure of which would be likely to frustrate implementation of a proposed agency action (exemption 9).  In voting to close the meeting, the Commission has determined that, on balance, taking into account the relative advantages and disadvantages to the public of conducting the meeting in open or closed session, the public interest would best be served by closing the meeting based on the exemptions identified.  The General Counsel has certified that the meeting may be properly closed to the public under the referenced exemptions.

Purpose of this Notice:  This document gives notice that the Commission has decided to close the meeting described above.  This notice is given pursuant to the Commission’s rules issued under the Government in the Sunshine Act (16 C.F.R. § 1013.4(c)(4)).
