Notice of Closed Commission Meeting (UPDATE - DATE AND TIME CHANGE)
Due to inclement weather, the date and time for this meeting is rescheduled from Wednesday, February 20, 2019.
Subject of Closed Meeting: Staff will brief the Commission on the status of two compliance matters.
Record of Commission’s Vote:
Compliance Matter No. 1: On February 13, 2019, the Commission voted (4-0-1) to close the meeting and determined that Agency business requires calling the meeting without seven calendar days advance public notice. Acting Chairman Ann Marie Buerkle and Commissioners Robert S. Adler, Elliot F. Kaye, and Peter A. Feldman voted to close the meeting and determined that Agency business requires calling the meeting without seven calendar days advance public notice. Commissioner Baiocco abstained from voting.
Compliance Matter No. 2: On February 13, 2019, the Commission voted unanimously to close the meeting and determined that Agency business requires calling the meeting without seven calendar days advance public notice.
Commission’s Explanation of Closing: This meeting may be properly closed under Exemptions 3, 4, 7, and 9; 16 CFR § 1013.4(b)(3), (4), (7) and (9). This meeting will involve discussion of the following: (1) a matter specifically exempted from disclosure by statute (exemption 3); (2) trade secrets and commercial or financial information obtained from a person and privileged or confidential (exemption 4); (3) investigatory records to the extent that the production of such records or information would interfere with enforcement proceedings (exemption 7); and (4) information the premature disclosure of which is likely to frustrate implementation of a proposed agency action (exemption 9). In voting to close the meeting, the Commission has determined that, on balance, taking into account the relative advantages and disadvantages to the public of conducting the meeting in open or closed session, the public interest would best be served by closing the meeting based on the exemptions identified. The General Counsel has certified that the meeting may be properly closed to the public under the referenced exemptions.
Purpose of this Notice: This document gives notice that the Commission has decided to close the meeting described above. This notice is given pursuant to the Commission’s rules issued under the Government in the Sunshine Act (16 C.F.R. § 1013.4(c)(4)).
